Contrat de Licence Logiciel TMPGEnc Free

Important ! - Ceci est un Contrat légal entre vous, l'utilisateur final (Utilisateur), Hiroyuki Hori (le "Créateur") et Pegasys, Inc. Le Créateur et Pegasys Inc. sont désignés ci-dessous collectivement sous le terme de "Pegasys". Lorsque vous installez/utilisez le logiciel TMPGEnc Free (le "Logiciel TMPGEnc") vous êtes considéré comme ayant accepté tous les termes et les conditions décrits dans ce document.

Note : Ce document a été rédigé en français afin d'en faciliter la diffusion et la compréhension auprès des utilisateurs francophones. Néanmoins, ce document en français n'est présenté qu'à titre de référence et ne saurait engager la responsabilité de Pegasys en cas d'erreur ou omission de traduction. Dans tous les cas, les conditions et termes de ce contrat dans sa version originale en anglais, que vous trouverez à la suite de la version en français, s'appliquent de manière prioritaire et absolue.

1. Accord de Licence

Sous réserve des termes et conditions de ce Contrat, Pegasys accorde une licence non-exclusive et non-transférable du Logiciel TMPGEnc.

2. Droits de Copie

a) Les droits de copie et autres propriétés intellectuelles appartiennent exclusivement au Créateur.

b) L'Utilisateur ne peut louer, mettre en concession ou transférer le Logiciel TMPGEnc à un tiers, donner le Logiciel TMPGEnc en tant que gage sans autorisation préalable et écrite de Pegasys.

c) L'ingénierie inverse, le désassemblage et la décompilation sont expressément interdits. En aucun cas Pegasys ou ses fournisseurs ne sauraient êtres tenus responsables pour toutes pertes ou dommages causés par un acte d'ingénierie inverse, désassemblage ou décompilation.

3. Assistance Technique

Cette licence ne garantie aucune assistance technique ou correction des erreurs du Logiciel TMPGEnc. L'Utilisateur comprend que le Logiciel TMPGEnc n'est pas un "Gratuiciel" pour lequel vous pouvez en attendre un support technique. Les informations à propos de l'utilisation du Logiciel TMPGEnc peuvent êtres disponibles depuis les forums du site TMPGEnc ou autres.

4. Terme

Ce contrat prend effet à la date à laquelle le Logiciel TMPGEnc est installé pour la première fois, accédé ou utilisé sur l'ordinateur de l'Utilisateur.

5. NON-UTILISATION COMMERCIALE

Le Logiciel TMPGEnc est pour un usage dans un but exclusivement non-commercial, personnel ou de démonstration. Tout usage commercial du Logiciel TMPGEnc est expressément interdit. Les versions commerciales du Logiciel TMPGEnc sont disponibles à l'adresse https://tmpgenc.pegasys-inc.com. Toute utilisation commerciale du Logiciel TMPGEnc constitue une violation matérielle de la présente Licence et la Licence est annulée immédiatement.

6. Affichage Publicitaire

a) L'utilisateur reconnaît que le Logiciel TMPGEnc est conçu pour un usage publicitaire et affiche une bannière publicitaire renouvelée automatiquement.

b) Toute modification, changement, corruption ou interférence avec l'affichage et la performance de la bannière publicitaire est expressément interdit et est une violation matérielle de ce contrat.

c) Pegasys rejette expressément toute responsabilité pour toute perte directe ou indirecte, incluant mais sans y être limité à la perte de bénéfice, la cessation d'activité, ou perte d'information d'entreprise causée en raison de, par, ou en relation avec l'affichage publicitaire.

d) Lors de la récupération d'une bannière publicitaire, des informations tels que la version du Logiciel TMPGEnc ainsi que d'autres informations sont enregistrées dans le serveur de distribution des bannières publicitaires et peuvent devenir une information publique. L’identité de l’Utilisateur ne peut être déduite des informations collectées. Pegasys rejette toute responsabilité pour tout mésusage des informations stockées dans le serveur de distribution de bannières publicitaires.

7. Exemption de Responsabilité

L'Utilisateur reconnaît expressément et est accepte que l'utilisation du Logiciel TMPGEnc est à son seul risque. Le Logiciel TMPGEnc est fourni "tel quel" et sans garantie d'aucune sorte.

a) Pegasys ne saurait être tenu responsable de dommages à l'Utilisateur causés par la perte du Logiciel TMPGEnc.

b) PEGASYS REJETTE EXPRESSEMENT TOUTE GARANTIE ET/OU CONDITION, EXPRESSE OU IMPLICITE, INCLUANT MAIS SANS Y ETRE LIMITE, AUX GARANTIES IMPLIEES ET/OU AUX CONDITIONS DE MARCHANDABILITE OU QUALITE SATISFAISANTE OU LA CONFORMANCE POUR UN BUT PARTICULIER ANSI QUE LA NON-ATTEINTE AUX DROITS D'UN TIER. PEGASYS NE GARANTIE PAS QUE LES FONCTIONS CONTENUES DANS LE LOGICIEL TMPGENC REPONDRONT AUX BESOINS DE L'UTILISATEUR, OU QUE L'OPERATION DU LOGICIEL TMPGENC CE FERA DE MANIERE ININTERROMPUE OU SANS ERREUR, OU QUE LES DEFAUTS DANS LE LOGICIEL TMPGENC SERONT CORRIGES. DE PLUS, PEGASYS NE GARANTIE OU NE FAIT AUCUNE REPRENSENTATION QUANT A L'UTILISATION OU AU RESULTAT DE L'UTILISATION DU LOGICIEL TMPGENC OU DE LA DOCUMENTATION ATTACHEE EN TERME DE VERACITE, PRECISION, FIABILITE, OU AUTRES. AUCUNE INFORMATION ORALE OU ECRITE OU CONSEIL DONNE PAR PEGASYS OU UN REPRESENTANT AUTORISE DE PEGASYS NE CREER UNE GARANTIE OU D'AUCUNE MANIERE ETENDRE LA PORTEE DE CETTE GARANTIE. S'IL EST PROUVE QUE LE LOGICIEL PEGASYS EST DEFECTIF, L'UTILISATEUR ASSUME L'INTEGRALITE DU COUT DES ACTES NECESSAIRES, REPARATION OU CORRECTION. CERTAINES JURIDICTIONS N'AUTORISENT PAS L'EXEMPTION DES GARANTIES IMPLICITES, L'EXEMPTION CI-DESSUS PEUT ALORS NE PAS S'APPLIQUER A L'UTILISATEUR. LES TERMES DE CETTE EXEMPTION N'AFFECTENT OU NE PORTENT PAS ATTEINTE AUX DROITS STATUTAIRES D'UN CONSOMMATEUR ACQUERANT LES PRODUITS PEGASYS AUTREMENT QUE DANS LE COURS D'UNE RELATION D'AFFAIRE, NI NE LIMITENT OU EXCLUENT TOUTE RESPONSABILITE EN CAS DE DECES OU BLESSURE PERSONNELLE CAUSE PAR LA NEGLIGENCE DE PEGASYS.

8. Limitation des Dommages

EN AUCUNE CIRCONSTANCE, UNCLUANT LA NEGLIGENCE, PEGASYS NE SAURAIT ETRE TENU PASSIBLE POUR TOUT DOMMAGE ACCESSOIRE, SPECIAL, INDIRECT OU CORRELE CAUSE PAR OU EN RELATION AVEC CETTE LICENCE. CERTAINES JURIDICTIONS NE PERMETTANT PAS LA LIMITATION DES DOMMAGES ACCESSOIRES OU CORRELE CETTE LIMITATION PEUT NE PAS S'APPLIQUER A L'UTILISATEUR. EN AUCUN CAS PEGASYS NE SAURAIT ETRE TENU PASSIBLE DE QUEL DOMMAGE QUE CE SOIT.

9. Résiliation

Les droits de l'Utilisateur sous cette licence seront résiliés automatiquement sans avis de Pegasys si l'Utilisateur manque à tout terme de cette licence.

a) Pegasys peut résilier ce contrat si l'Utilisateur en viol quel terme que ce soit. Dans le cas d'une résiliation par Pegasys pour quelle raison que ce soit, les droits de l'Utilisateur d'utiliser le Logiciel TMPGEnc cessent immédiatement.

b) Ce Contrat est résilié automatiquement si l'Utilisateur a un nouveau contrat avec Pegasys pour une nouvelle version du Logiciel TMPGEnc.

c) L'utilisateur peut résilier ce Contrat en se débarrassant du Logiciel TMPGEnc (avec son manuel et tout autres document, et leur copie).

d) Suivant la résiliation de ce contrat, l'Utilisateur doit cesser l'utilisation et détruire toutes les copies du Logiciel TMPGEnc.

10. Juridiction et Divisibilité

Ce contrat est gouverné par les lois du Japon. Si pour toute raison que ce soit une cours de la juridiction compétente toute ou partie d'une provision être non exécutoire, le reste de ce contrat continue de pleine force et effet. Toute poursuite, action ou instance en relation avec ce Contrant doit être entrepris à la Cours du District de Tokyo, Japon.

11. Autres

a) L'Utilisateur ne saurait traduire le Logiciel TMPGEnc en un autre langage que l'anglais. L'Utilisateur ne saurait distribuer de programme ou correctif logiciel permettant de changer la langue ou les autres réglages du Logiciel TMPGEnc.

b) Ce Contrat est prioritaire sur toutes versions précédentes de contrat établis entre l'Utilisateur et Pegasys (s'il y en a). Pegasys a le droit de modifier, changer le contenu de ce Contrat et notifier / annoncer. Suivant le renouvellement de ce Contrat, tous les contrats précédents sont automatiquement mis à jour au contrat le plus récent renouvelé par Pegasys.

Important! - This is a legal agreement between you, the end user (User), and Hiroyuki Hori (the Creator) and Pegasys, Inc. The Creator and Pegasys, Inc will be referred to hereinafter collectively as Pegasys. Once you install/use TMPGEnc Free Version Software (English) (the TMPGEnc Software) you shall be deemed to have agreed to all terms and conditions described in this document.

1. Grant of license

Subject to the terms and conditions of this Agreement, Pegasys grants non-exclusive, non-transferable license of TMPGEnc Software.

2. Copyrights

a) Copyrights and any other intellectual property regarding the TMPGEnc Software belong to the Creator exclusively.

b) The User may not rent, lease or transfer the TMPGEnc Software to a third person/party, may not give the TMPGEnc Software as security without prior written notice to Pegasys.

c) Reverse engineering, reverse assembling and reverse compiling are all expressly prohibited. In no event shall Pegasys or its suppliers be liable for any loss or damage arising from such reverse engineering, reverse assembling or reverse compiling.

3. User support

This License does not warrant User support or error correction of the TMPGEnc Software. User understands the TMPGEnc software is not a Freeware for which you can expect user support. Information regarding the use of the TMPGEnc Software may be available from the bulletin board system at the TMPGEnc website or other places.

4. Terms

This agreement comes into effect at the date on which the TMPGEnc Software is first installed, accessed or used on the Users computer.

5. NO COMMERCIAL USES

The TMPGEnc Software is for non-commercial, personal or demonstration purposes ONLY. Any and all commercial uses of TMPGEnc Software are expressly prohibited. Commercial versions of TMPGEnc Software are available at https://tmpgenc.pegasys-inc.com. Any commercial use of TMPGEnc Software constitutes a material breach of this License and the License terminates immediately.

6. Advertisement Display

a) The User acknowledges that the TMPGEnc Software is designed for advertising use and displays an advertisement banner that is automatically updated.

b) Any modifications, changes, corruption of interference with the display and performance of the advertisement banner is expressly prohibited and is a material breach of this agreement.

c) Pegasys expressly disclaim any liability for any direct or incidental loss, including but not limited to loss of benefit, discontinuation of business or loss of business information arising out of, caused by, or related to the advertisement display.

d) When retrieving an advertisement banner, information such as the TMPGEnc Software version and other information are registered in the advertisement banner distribution server and may become public information. The identity of the User cannot be deduced from the collected information. Pegasys disclaims all liability for any misuse of information stored on the advertisement distribution server.

7. Disclaimer

The User expressly acknowledges and agrees that use of the TMPGEnc Software is at his or her sole risk. The TMPGEnc Software is provided "AS IS" and without warranty of any kind.

a) Pegasys shall not be liable for damage of end User arising from loss of TMPGEnc Software.

b) PEGASYS EXPRESSLY DISCLAIMS ALL WARRANTIES AND/OR CONDITIONS, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES AND/OR CONDITIONS OF MERCHANTABILITY OR SATISFACTORY QUALITY AND FITNESS FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS. PEGASYS DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE TMPGENC SOFTWARE WILL MEET THE USER REQUIREMENTS, OR THAT THE OPERATION OF THE TMPGENC SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS IN THE TMPGENC SOFTWARE WILL BE CORRECTED. FURTHERMORE, PEGASYS DOES NOT WARRANT OR MAKE ANY REPRESENTATIONS REGARDING THE USE OR THE RESULTS OF THE USE OF THE TMPGENC SOFTWARE OR RELATED DOCUMENTATION IN TERMS OF THEIR CORRECTNESS, ACCURACY, RELIABILITY, OR OTHERWISE. NO ORAL OR WRITTEN INFORMATION OR ADVICE GIVEN BY PEGASYS OR AN AUTHORIZED PEGASYS REPRESENTATIVE SHALL CREATE A WARRANTY OR IN ANY WAY INCREASE THE SCOPE OF THIS WARRANTY. SHOULD THE TMPGENC SOFTWARE PROVE DEFECTIVE, USER ASSUMES THE ENTIRE COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO THE USER. THE TERMS OF THIS DISCLAIMER DO NOT AFFECT OR PREJUDICE THE STATUTORY RIGHTS OF A CONSUMER ACQUIRING PEGASYS PRODUCTS OTHERWISE THAN IN THE COURSE OF A BUSINESS, NEITHER DO THEY LIMIT OR EXCLUDE ANY LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY PEGASYS NEGLIGENCE.

8. Limitation of Liability

UNDER NO CIRCUMSTANCES, INCLUDING NEGLIGENCE, SHALL PEGASYS BE LIABLE FOR ANY INCIDENTAL, SPECIAL, INDIRECT OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR RELATING TO THIS LICENSE. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THIS LIMITATION MAY NOT APPLY TO USER. IN NO EVENT SHALL PEGASYS BE LIABLE FOR ANY DAMAGES WHATSOEVER.

9. Termination

The Users rights under this License will terminate automatically without notice from Pegasys if the User fails to comply with any term(s) of this License.

a) Pegasys may terminate this agreement if the User violates any terms herein. In the case of termination by Pegasys for any reason, the Users right to use the TMPGEnc Software ceases immediately.

b) This agreement will be terminated automatically if the User has a new agreement with Pegasys for new versions of the TMPGEnc Software.

c) The User may terminate this agreement by discarding the TMPGEnc Software (with manual and all other documents, and its copy).

d) Upon termination of this agreement, the User must cease use and destroy all copies of the TMPGEnc Software.

10. Controlling Law and Severability

This License shall be governed by the laws of Japan. If for any reason a court of competent jurisdiction finds any provision, or portion thereof, to be unenforceable, the remainder of this License shall continue in full force and effect. Any suit, action or proceeding relating this Agreement shall be commenced at the Tokyo District Court, Japan.

11. Other

a) The User shall not translate the TMPGEnc Software into languages other than English. The User shall not distribute programs or patches to change the language or other settings of the TMPGEnc Software.

b) This agreement is given higher priority over previous agreements that are made between User and Pegasys (if any). Pegasys have the right to modify, change the content of this agreement and make other notices / announcements. Upon the renewal of this agreement, all previous agreements shall be automatically updated to the latest agreement renewed by Pegasys.
